Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Xatheryn Relay (“Relay,” “we,” “us,” or “our”) governing your access to and use of the Xatheryn Relay short-form video publishing service (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you represent that you have your parent or legal guardian’s permission to use the Service and that they have read and agree to these Terms on your behalf.

2. Your Account

The Service uses passkey-based authentication; you are responsible for maintaining the security of the device(s) and/or password manager holding your passkey. You are responsible for all activity that occurs under your account. Notify us immediately at the contact address in Section 17 if you suspect unauthorized access to your account.

3. Description of the Service

Relay allows you to upload short-form video content, connect your own accounts on supported third-party platforms (currently Instagram, Facebook, TikTok, YouTube, X, and Threads, subject to change), and publish your content to those platforms. Relay acts solely at your direction and using authorization you affirmatively grant for each connected account; Relay does not independently post content to any platform on your behalf without your instruction.

4. Your Content

You retain all ownership rights in the content you upload (“Your Content”). By uploading Your Content, you grant Relay a limited, non-exclusive, worldwide, royalty-free license to store, process, transmit, and display Your Content solely as necessary to provide the Service, including transmitting it to the destination platforms you select. This license ends when Your Content is deleted from our systems, except to the extent it has already been transmitted to a third-party platform at your direction, which is then governed by that platform’s own terms.

You represent and warrant that you own or have all necessary rights to Your Content, and that Your Content and your use of the Service do not and will not: (a) infringe any intellectual property, publicity, or privacy right of any third party; (b) violate any applicable law; (c) contain material that is unlawful, defamatory, obscene, or harmful; or (d) violate the terms of service of any destination platform you publish to.

5. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to circumvent usage limits associated with your subscription tier, including by creating multiple accounts to obtain free-tier benefits beyond what is offered to a single user; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to the Service or its related systems; (e) use the Service to publish content that violates a destination platform’s terms of service, community guidelines, or applicable law; or (f) reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.

6. Third-Party Platforms

The Service integrates with third-party social media platforms that are not owned or controlled by Relay. Your use of any connected platform is governed by that platform’s own terms of service and privacy policy, which you are solely responsible for reviewing and complying with. Relay is not responsible for: (a) any platform’s availability, downtime, or changes to its API or policies; (b) a platform’s decision to reject, remove, restrict, or take action against content you publish through Relay; (c) suspension, restriction, or termination of your account on any connected platform; or (d) any loss or damage arising from your use of a connected platform. Your authorization to a connected platform may be revoked by you or by that platform at any time.

7. Subscription Plans, Billing, and Cancellation

Relay offers a free tier and one or more paid subscription tiers, each with its own feature set and usage limits as described on the Service at the time of your purchase. Paid subscriptions are billed through Square, Inc. and are subject to Square’s own terms. By subscribing to a paid tier, you authorize Relay to charge your selected payment method on a recurring basis until you cancel.

Entitlements are per product. Where a subscription tier is described as removing advertising or granting any other benefit, that applies only within the product for which the subscription was purchased. Xatheryn products are sold and billed separately, and a subscription to one product does not confer entitlements in another.

Cancellation. You may cancel your subscription at any time through your account settings. Cancelling a subscription is designed to require no more effort than purchasing one. We do not require you to contact support, negotiate retention offers, or complete additional steps to cancel. Upon cancellation, you will retain access to your paid tier’s features through the end of the then-current billing period, after which your account will revert to the free tier. Except where required by applicable law, fees already paid are non-refundable.

We reserve the right to change subscription pricing or features on a prospective basis, with reasonable notice before the change takes effect for existing subscribers.

8. Promotional and Giveaway Codes

Relay may issue promotional codes granting temporary access to features outside your normal subscription tier. Promotional codes: (a) have no cash value and cannot be exchanged for cash or credit; (b) may be limited to one redemption per account; (c) expire automatically at the end of their stated promotional period, after which your account reverts to your underlying subscription tier; and (d) may be modified, revoked, or discontinued by Relay at any time, including after issuance, in cases of suspected fraud or abuse.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, or if required to do so by law. Upon termination, your right to use the Service ceases immediately; provisions of these Terms that by their nature should survive termination (including Sections 4, 10, 11, 12, and 13) will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT PUBLISHED THROUGH THE SERVICE WILL BE ACCEPTED, DISPLAYED, OR MAINTAINED BY ANY THIRD-PARTY PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RELAY, ITS OWNERS, OFFICERS, OR OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RELAY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RELAY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Relay and its owners, officers, and operators from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) Your Content; (b) your use of or access to the Service; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property, publicity, or privacy right, or any destination platform’s terms of service.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of such courts. [Note: reflects the owner’s current state of residence as of this document’s drafting. If Xatheryn is later formed as an LLC or corporation, revisit this clause against that entity’s actual state of formation, since it may differ from the owner’s personal residence, and legal counsel can advise which is more advantageous.]

14. Changes to the Service and These Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may update these Terms from time to time; material changes will be reflected by an updated “Last updated” date, and where required, we will seek your renewed acceptance before you can continue using the Service.

15. Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Relay regarding the Service and supersede any prior agreements.

17. Trademarks

Instagram, Facebook, TikTok, YouTube, X, and Threads, and their respective logos, are trademarks of their respective owners (Meta Platforms, Inc.; ByteDance Ltd.; Google LLC; and X Corp.). They are used on the Service solely to identify the platforms Relay can publish to on your behalf, and their use does not imply any affiliation with, sponsorship by, or endorsement from those companies.
